Chapter 4: The Empire My Father Left Me

For several seconds, I couldn't hear anything except the sound of my own breathing.

My father had transferred controlling ownership of Rowan Capital Holdings to me before he died.

I'd spent seven years believing I was simply helping Grant build a company through my investment contacts.

But I'd actually been sitting on the other side of the table the entire time.

I looked at Margaret.

"Did you know?""

She nodded slowly.

"Your father told me everything before he passed away. He made me promise not to reveal it unless Grant tried to take your inheritance or use you to gain control of the company.""

"And you waited eleven years?""

"Your father believed you needed to discover who you were without his money. He didn't want you to become dependent on the power he left behind.""

I looked down at the photograph of my father and Grant.

"Why didn't he tell me about the first million?""

Margaret lowered herself into a dining chair.

"Because he wanted to give Grant a chance to prove himself.""

I frowned.

"What does that mean?""

She folded her hands.

"Seven years ago, your husband approached your father through Arthur Finch. He wanted an investment in a manufacturing company. Your father agreed to provide the initial capital, but he made one condition.""

"What condition?""

"That Grant would never know who controlled the investment.""

I stared at her.

"Why?""

"Your father said he wanted to see whether Grant could build something without knowing he was working for a wealthy family.""

I looked at the photograph again.

Grant had been smiling.

My father hadn't.

Margaret continued.

"Your father believed Grant was ambitious. He also believed ambition could become dangerous when mixed with entitlement. He wanted you to have a life where someone loved you for yourself.""

I swallowed.

"And what did Grant do?""

Margaret's eyes dropped.

"He used the money to establish Rowan Works. Then he began moving assets into other companies. Your father discovered the transfers shortly before he died.""

"How did he die?""

Margaret looked up sharply.

"His heart failed. The doctors said it was natural.""

"But?""

She hesitated.

"I don't know anything more than that. I only know your father was frightened during his final weeks.""

I felt a chill.

"Did he leave any other documents?""

"Yes. Everything important is in Vault 17.""

I picked up the brass key.

"Then we're going there.""

At 6:12 p.m., I arrived at Rowan Capital Holdings.

Daniel was waiting beside the elevator with a thick file under his arm.

"Did you read your father's letter?""

"Yes.""

"And Margaret?""

"She confirmed the arrangement.""

Daniel nodded.

"I suspected Edward had structured the ownership this way, but I didn't have the original documents.""

"Why didn't you tell me?""

"Because your father instructed me not to reveal the arrangement unless there was a legitimate threat to your ownership or control.""

I stopped walking.

"Daniel, I was married to Grant for seven years. You watched him use the company my father funded.""

"Your father wanted you to have a normal marriage.""

"That worked beautifully.""

Daniel didn't respond.

We entered the conference room.

Maya had prepared a series of financial statements across three monitors.

Victor stood near the windows, speaking quietly with Elliot.

"What's the damage?"" I asked.

Maya turned around.

"Not as much as Grant thinks. But potentially more than we initially estimated.""

She displayed a transaction chart.

"Over the last fourteen months, Rowan Works transferred $11.7 million to related-party entities. The largest payments went to Avery Strategic Consulting, Finch Advisory Group, and two companies registered in the Cayman Islands.""

"Who authorized them?""

"Grant and Arthur.""

"Richard?""

"He questioned several transactions. His approval was bypassed on three occasions.""

I studied the figures.

"Where did the money originate?""

"Operating revenue, plus funds drawn from the credit facility.""

Victor joined us.

"There's another issue. The new restructuring proposal attempts to transfer twenty-eight percent of your equity into Sloane's name, but it also creates a voting agreement giving Grant effective control over her allocation.""

"So she wouldn't actually control the shares.""

"Correct. He would.""

I laughed without humor.

"He wants to use his mistress as a disguise for stealing my voting power.""

Elliot nodded.

"That's our working interpretation. The documents also contain a declaration that you consented to the restructuring. We have grounds to challenge it.""

"Then challenge it.""

Daniel opened his folder.

"There's one complication.""

I looked at him.

"Of course there is.""

"The lenders have requested a meeting tomorrow morning. They want to understand why the guarantor is reviewing its support.""

"Who requested it?""

"First Carolina's chairman.""

"Ethan Cole?""

Daniel nodded.

I remembered the photograph.

"Did Grant request the meeting?""

"No. He was informed after the lenders received our notice.""

"Then he won't like what happens tomorrow.""

Daniel placed another document on the table.

"There's something else. Grant has requested an emergency vote to remove you from the Rowan Works board.""

I read the proposal.

It was scheduled for 9:00 a.m.

Tomorrow.

"He wants to remove me before the lenders understand who controls the guarantee.""

"Exactly.""

I looked at Maya.

"How many directors are eligible to vote?""

"Seven.""

"How many support Grant?""

"Three, possibly four.""

"Who are the remaining directors?""

"Richard Bell, Helen Crawford, and Thomas Whitaker.""

I recognized Helen.

She'd been with the company since its second year.

"Call Helen. Tell her I want to speak privately.""

Maya nodded.

"And Thomas?""

"Same.""

Daniel looked concerned.

"Leah, we need to be careful. Grant may attempt to argue that your actions as guarantor are motivated by personal retaliation.""

I closed the folder.

"Then we'll give him something more substantial to explain.""

I slid the photograph of Grant, my father, and Arthur across the table.

"Find out why Arthur Finch was standing beside my father when the original investment was arranged.""

Daniel studied the photograph.

"I'll look into it.""

"And get me the original trust documents.""

"Vault 17?""

"Yes.""

I placed the brass key on the table.

"My father said the truth was there.""

At 8:45 p.m., Daniel and I arrived at Charlotte Private Trust Bank.

The bank occupied a discreet building with dark windows and no visible advertisements.

A senior vault officer met us in a private office.

"Mrs. Rowan, we've been expecting you.""

I frowned.

"Expecting me?""

He nodded.

"Your father left specific instructions regarding Vault 17. We were required to verify your identity and wait for your written authorization.""

He checked my identification.

Then he placed a document on the desk.

"Before opening the vault, I need you to review this acknowledgment.""

I signed.

He led us through two security doors and down a narrow corridor.

Vault 17 was smaller than I'd imagined.

Inside were several sealed boxes, two leather-bound ledgers, and a large envelope bearing my father's initials.

I opened the first box.

Stock certificates.

Trust agreements.

Property deeds.

Original shareholder registers.

Then I found the document that changed everything.

A certificate of beneficial ownership.

*ROWAN CAPITAL HOLDINGS — 82% CONTROLLED INTEREST.*

Owner: Leah Rowan.

Effective date: March 14, 2019.

I stared at it.

I'd been twenty-nine.

Grant and I had been married for six months.

He'd spent seven years calling me his dependent wife while secretly operating a company financed by an investment group I controlled.

Daniel examined the certificate.

"This is extraordinary.""

I continued searching.

Another document showed the original $1 million transfer to Rowan Works.

The funds had come directly from Rowan Capital.

A handwritten note was attached.

Initial funding approved on condition that Grant Rowan retain operational management but receive no beneficial ownership of the underlying capital vehicle.

I looked at Daniel.

"Grant knew about this condition?""

"Apparently not.""

I found another envelope.

Inside was a letter addressed to me.

Leah,

If you are reading this, then someone has tried to take what I left you.

I hope it isn't Grant. I wanted to believe I was wrong about him.

But if he has reached this point, remember one thing. Rowan Works is not the empire. Rowan Capital is.

The person who controls the capital controls the future.

And there is something else you must know about Arthur Finch.

I turned the page.

Arthur was not merely my attorney. He was the person who introduced Grant to me. He knew about the ownership arrangement from the beginning.

My fingers tightened around the letter.

Daniel read over my shoulder.

"That's significant.""

I kept reading.

He also knows what happened to the missing money from the first investment.

There was one final paragraph.

If Arthur is still working with Grant, do not trust any document bearing his signature.

I lowered the letter.

For seven years, Arthur had sat across from me at corporate dinners.

He'd helped prepare our estate documents.

He'd advised me on shareholder agreements.

He'd even attended my father's memorial service.

And now he was helping Grant steal my shares.

I placed the letter back into its envelope.

"Daniel?""

"Yes?""

"Tomorrow, I want every director to see these documents.""

He nodded.

"And I want Arthur Finch at that meeting.""

Daniel looked at me carefully.

"Are you sure?""

I picked up the original share certificate.

"Absolutely.""

Because tomorrow, Grant was going to learn the difference between owning a company and controlling the money that keeps it alive.

But as we left the vault, my phone lit up.

A message from an unknown number appeared.

*YOU SHOULD HAVE LEFT VAULT 17 CLOSED. YOUR FATHER MADE THE SAME MISTAKE.*

I stopped.

A second message arrived.

*ASK DANIEL WHAT HE KNOWS ABOUT THE NIGHT EDWARD ROWAN DIED.*

I slowly turned toward my attorney.

"Daniel?""

May you like

His face had lost its color.

And that was when I realized there was another secret my father had taken to his grave.
